Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of the website, products, APIs, software, and services provided by Baseclaim, Inc. ("Baseclaim," "Company," "we," "us," or "our"), including the website located at https://baseclaim.ai (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

The Services are intended for users who are at least 18 years old.

Baseclaim provides software and infrastructure services related to product verification, claim resolution, structured compliance data, and related trust infrastructure workflows.

The Services may include:

  • APIs and developer tooling
  • verification and claim-resolution systems
  • pilot environments
  • integrations and related infrastructure services

The Services are provided for lawful business purposes only.

You are responsible for ensuring that your use of the Services complies with applicable laws and regulations.

2. Intellectual Property Rights

The Services, including all software, content, designs, trademarks, logos, APIs, documentation, graphics, and underlying technology, are owned by or licensed to Baseclaim and are protected by intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for internal business purposes.

You may not:

  • copy, reproduce, distribute, or resell the Services
  • reverse engineer or attempt to extract source code
  • use the Services to build competing products

  • misuse Baseclaim trademarks or branding

All rights not expressly granted are reserved by Baseclaim.

3. User Representations

By using the Services, you represent and warrant that:

  • the information you provide is accurate and current
  • you have authority to act on behalf of your organization, if applicable
  • you will comply with all applicable laws
  • you will not misuse the Services
  • you will not use the Services for unlawful, fraudulent, or harmful purposes

You agree not to:

  • interfere with or disrupt the Services
  • attempt unauthorized access to systems or accounts
  • upload malicious code or harmful content
  • scrape or systematically extract data without permission
  • use automated systems to abuse or overload the Services

We reserve the right to suspend or terminate access for violations of these Terms.

If you access Baseclaim APIs or developer tooling:

  • you may only use them in accordance with applicable documentation
  • you may not abuse rate limits or attempt unauthorized access
  • you may not misrepresent verification or claim-resolution outputs
  • you remain responsible for decisions made using API responses

Baseclaim may modify, limit, or discontinue APIs at any time.

7. Third-Party Services

The Services may rely on or integrate with third-party providers, including cloud infrastructure, analytics, communications, and AI providers.

We are not responsible for third-party products, services, or content.

Your use of third-party services may also be governed by separate terms and privacy policies.

8. Privacy

Your use of the Services is also governed by our Privacy Policy and Cookie Policy.

By using the Services, you consent to the collection and processing of information as described in those policies.

9. Feedback and Submissions

If you provide suggestions, feedback, or ideas regarding the Services, you grant Baseclaim a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such feedback without restriction or compensation.

10. Service Availability

We may modify, suspend, or discontinue any part of the Services at any time without liability.

We do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.

11. Disclaimers

The Services are provided "as is" and "as available."

To the maximum extent permitted by law, Baseclaim disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

We do not guarantee:

  • uninterrupted service availability
  • accuracy of third-party information
  • that verification or claim-resolution outputs will satisfy regulatory requirements
  • that the Services are error-free or secure

You are responsible for your own operational, legal, and compliance decisions.

12. Limitation of Liability

To the maximum extent permitted by law, Baseclaim shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, or business opportunity.

In no event shall Baseclaim's total liability exceed the amount paid by you to Baseclaim during the six (6) months preceding the event giving rise to liability.

Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless Baseclaim and its affiliates, officers, employees, and agents from any claims, damages, liabilities, and expenses arising from:

  • your use of the Services
  • your violation of these Terms
  • your violation of applicable laws
  • your infringement of third-party rights

14. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms.

Upon termination:

  • your rights to use the Services immediately cease
  • provisions intended to survive termination remain in effect

15. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

16. Dispute Resolution

Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes informally.

Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in San Francisco, California, except where prohibited by applicable law.

Either party may seek injunctive relief for intellectual property misuse or unauthorized access to the Services.

We may update these Terms from time to time.

Updated versions will be posted on this page with a revised "Last updated" date. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
